Millennium has strategic alliances and business partnerships with some of the world's leading pharmaceutical and biotechnology firms. The relationships range from disease-oriented therapeutic collaborations and technology-transfer arrangements, to marketing and licensing agreements.
Collaboration: Ortho Biotech
VELCADE® (bortezomib) for Injection is being co-developed by Millennium and Johnson & Johnson Pharmaceutical Research & Development. Ortho Biotech and Janssen-Cilag, members of the Johnson & Johnson Family of Companies, are responsible for commercialization of VELCADE in Europe and the rest of the world. Janssen Pharmaceutical K.K. will be responsible for Japan. In October 2006, we entered into a co-promotion agreement with Ortho Biotech, Inc. to jointly promote VELCADE in the United States for an initial term of two-years.
Collaboration: Schering-Plough Corporation
In July 2005, the parties restructured their relationship. Under the new relationship, Schering-Plough exclusively develops and commercializes INTEGRILIN in areas outside of Europe and pays Millennium royalties.
Collaboration: GlaxoSmithKline, plc
In June 2004, Millennium and GlaxoSmithKline (GSK) entered into an agreement in which GSK exclusively will market INTEGRILIN in Europe. The commercialization alliance is designed to provide significant sales and marketing support to capitalize on growth opportunities for INTEGRILIN in Europe and is designed to enhance the GSK cardiovascular care portfolio and presence in the European acute care market. Under the terms of the agreement, Millennium is entitled to license fees, milestone payments and royalties from GSK on INTEGRILIN sales in Europe upon the achievement of certain objectives.
Collaboration: Aventis
June 2000, we entered into a broad agreement in the field of inflammatory disease with Aventis, now sanofi-aventis, which includes joint discovery, development and commercialization of small molecule drugs for the treatment of specified inflammatory diseases. This agreement covers a substantial portion of our development program in the inflammatory disease area and provides us with potential access to sanofi-aventis' large promotional infrastructure in connection with the commercialization of jointly developed products. The discovery phase of the agreement expired on October 31, 2005. However, we and sanofi-aventis are continuing a limited research program covering three advanced pre-clinical candidates discovered through the collaboration. The development and commercialization programs continue under the agreement. As provided in the original agreement, in North America, we have agreed to share the responsibility for and cost of developing, manufacturing and marketing products arising from the alliance. Outside of North America, sanofi-aventis is responsible for and will bear the cost of developing, manufacturing and marketing products arising from the alliance. sanofi-aventis is required to pay us a royalty on product sales outside of North America. To date, we and sanofi-aventis have identified a significant number of novel drug targets relevant in inflammatory diseases. During the remaining portion of the development phase of the alliance, we and sanofi-aventis have agreed to focus our joint resources on pre-clinical and clinical development of candidates identified in the collaboration. The alliance has identified several development candidates, two of which, MLN3701 and MLN0415, are now being tested in Phase I clinical trials. A third product candidate, MLN6095, is now in pre-clinical testing.
